Bauer Performance Sports Acquires Another Company, Inaria

Bauer Performance Sports has been on the move the past five years. In 2008, the organization was sold to Kohlberg & Co. for $200 million, which was seen as great acquisition for an underperforming organization. Bauer was originally purchased by Nike in 1995 for $430 million.

In June of this year, Bauer acquired Cascade Lacrosse for $64 million. In June of 2010, Maverik Lacrosse was acquired for an undisclosed sum by Bauer’s parent company, Kohlberg & Co. Recently, however, Bauer has experienced a drop in revenue. The organization equates the drop in earnings to foreign exchange costs and expenses related to the acquisition of Cascade. The organization’s most recent purchase, though, will undoubtedly increase its earning potential and improve its “Five Forces” according to Michael Porter’s philosophy. This is an auspicious strategy for Bauer.

TORONTO, ONTARIO–(Marketwire – Oct. 10, 2012) – Bauer Performance Sports Ltd. (BAU.TO) (“BAUER”) today announced it has entered into a definitive agreement to acquire Inaria International (“Inaria”), a global provider of team sports and active apparel. The acquisition will provide BAUER with full team apparel capabilities, including the design, development and manufacturing of uniforms for ice hockey, roller hockey, lacrosse, soccer and other team sports.

“The acquisition will allow us to enter the large and growing uniform market, where we did not have the capabilities to compete previously,” said Kevin Davis, President and Chief Executive Officer, Bauer Performance Sports. “This is an exciting opportunity for us as it will enable us to become a one-stop-shop for our retail partners around the world who will be able to rely solely on BAUER for their complete equipment and team apparel needs for both ice hockey and lacrosse.”

The purchase price for Inaria will be Cdn $7.0 million in cash, and the acquisition is currently expected to close on or about October 17, subject to satisfaction of customary closing conditions.
